1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (identifiable as "Customer," "User," or "you") and TECSOL Software LLC ("Company," "we," "us," or "our"), a company incorporated in Delaware, governing your access to and use of the clockit.io website and our mobile and web applications (collectively, the "Service").

By registering for, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not accept them and may not use the Service.

2. Description of Service

ClockIt.io is a workforce management platform that provides time tracking, attendance monitoring, reporting, and related utilities. The Service may include features such as GPS location tracking, biometric verification (facial recognition/fingerprinting), and shift scheduling.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business operations, subject to these Terms.

3. Account Registration and Security

• Account Creation: You must provide accurate, current, and complete information during the registration process.
• Security: You are responsible for maintaining the confidentiality of your login credentials. You accept responsibility for all activities that occur under your account.
• Authorized Users: If you are an employer ("Customer"), you are responsible for the compliance of your employees ("End Users") with these Terms.

4. Use of Biometrics and Location Data

Our Service includes features that collect sensitive data, including GPS location and biometric identifiers (facial recognition/fingerprint).

Customer Responsibilities

If you are a Customer (Employer) using these features, you agree that you are solely responsible for:

• Providing all necessary notices and obtaining all necessary consents from your employees/users as required by applicable law (e.g., BIPA in Illinois, GDPR in Europe) before collecting biometric or location data.
• Ensuring that your use of these features complies with all local labor and privacy laws.

5. Subscription and Payment

• Fees: Access to certain parts of the Service requires a paid subscription. You agree to pay all fees associated with your plan.
• Billing: Payments are processed via third-party payment processors (e.g., Stripe). By providing a payment method, you authorize us to charge the applicable fees to that method.
• No Refunds: Listing fees and subscription charges are generally non-refundable, except as required by law or explicitly stated in our refund policy.

6. Payroll and Legal Compliance Disclaimer

ClockIt.io is NOT a payroll service provider/processor.

We provide data regarding time and attendance. It is solely your responsibility to:

• Verify the accuracy of time records before processing payroll.
• Ensure compliance with wage and hour laws, overtime rules, and break requirements in your jurisdiction.

We are not liable for any payroll errors, underpayments, or overpayments resulting from your use of the data provided by the Service.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any local, state, national, or international law.
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service.
• Interfere with or damage the operation of the Service, including through the use of viruses or harmful code.

8. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of TECSOL Software LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall TECSOL Software LLC, its directors, employees, or partners be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
